Registered Agent Service

When you join BIZ CUBE with almost any level membership, you have the option of utilizing us as your official Registered Agent with all government agencies at no extra charge.
This includes using us as your Principle Place of Business address with the option to add mail/virtual office for receiving all mail (not just mail from government entities).
If you prefer to utilize ONLY our registered agent services (without a BIZ CUBE membership), your cost is only $35 per year. To get started, just send us an email and request our Registered Agent Agreement form.
What is a Registered Agent?
A registered agent is a person or entity that accepts legal documents and governmental mail on behalf of your business. Per OR Rev Stat § 63.111, all Oregon LLCs and corporations must appoint and maintain an Oregon registered agent. In addition, your registered agent must:
- Maintain a physical address in Oregon (called a registered office)
- Stay open during regular business hours to accept notices and mail on your behalf
- Contact you when new documents or notices are received
- Forward your documents to you in a timely manner
When you hire us, your important legal documents are scanned immediately and forwarded to you via email. You also have the option of having us forward the physical documents to you via USPS First Class mail. You also get real-time annual report reminders.
Can I be my own registered agent?
Yes. However, choosing to act as your own registered agent has risks. For example, when forming an Oregon LLC or corporation, you must list your registered agent’s physical address on the Articles of Organization or Articles of Incorporation—both are public records. When you hire us to file on your behalf, we’ll list our business address instead. You get to maintain your privacy and avoid junk mail. It’s a win-win.
What happens if I don’t maintain a Registered Agent?
Failing to appoint and maintain an registered agent could result in the state administratively dissolving your business (OR Rev Stat § 63.647). If you operate as a foreign LLC or foreign corporation, the state will revoke your authority to conduct business.
How do I change my business registration to the BIZ CUBE Registered Agent Service?
There are three options* for changing your registered agent:
Option One: Hire us for Registered Agent Service
- When you hire us for Registered Agent service, you can elect to have us change your registered agent information with the state at no additional cost.
Option Two: File your annual report.
- Oregon allows businesses to update their registered agent information when filing annual reports. The state's filing fee for annual reports is $100.
Option Three: File a Corporation/Limited Liability Company – Information Change.
- If you’ve already filed your annual report, you can file a Corporation/Limited Liability Company – Information Change Form. There is no filing fee.
*Any changes that show BIZ CUBE as your registered agent should be submitted to the Oregon Secretary of State's office via FAX, mail, or in-person. We are happy to do this for you at no extra cost.
Do I sign up before or after I form my Oregon business?
If you've haven't yet done so, hire us first. You must appoint a registered agent when filing your Articles of Organization or Articles of Incorporation. If you file without a registered agent, the Secretary of State will reject your application. But you can always change your registered agent at any time.
